The decision against James Hardie directorsMedia commentary on the Supreme Court of NSW decision in the case against the former directors of James Hardie suggests that this is a hard case which has made bad law for non-executive directors generally.

It is unlikely however that the case would have major implications for non-executive directors given the special factors at play. That said, until an appeal court decides otherwise on some of the points which formed the basis of the Court's findings, directors should be more inclined to ensure that the bases of their decisions at board meetings on crucial matters are understood and noted.
